China Mengniu consolidates ownership structure to launch market divestment through McGrathNicol amid active Oceania dairy M&A.

AUSTRALIA – Advisory and restructuring firm McGrathNicol has officially initiated a formal sale process for Western Australia’s oldest and most prominent milk processor, Brownes Dairy.
The divestment has been initiated by China Mengniu Dairy Company, which has consolidated its holding position across the enterprise’s parent-level ownership structure to enable a complete, unified sale to a new long-term commercial owner.
The sale comes after the resolution of legacy holding-company debt arrangements that were originally placed into receivership in 2025.
Established in 1886, Brownes Dairy represents a foundational pillar of Western Australia’s rural and consumer food processing landscape, operating with a 140-year heritage.
The business manages two primary manufacturing assets—its headquarters and main processing plant in Balcatta and a regional manufacturing site in Brunswick Junction.
Across this footprint, Brownes collects approximately 150 million litres of raw milk annually from more than 50 contracted dairy farms situated across WA’s South West dairying region.
The processor enters the market in a position of robust financial and operational strength, forecasting calendar-year revenue of $288 million (AUD)—a solid increase from $270 million recorded in the prior 12-month period.
Brownes maintains a diverse value-added consumer portfolio encompassing fresh liquid white milk, cream, set and pot yoghurts, flavored milks, juices, and specialty desserts, holding commanding retail market shares across domestic supermarkets and food service channels.
McGrathNicol Partner Rob Kirman highlighted that the transaction launches amid strong sector tailwinds and accelerating consolidation across the Australasian dairy landscape.
Kirman drew parallels to several major multi-million-dollar transactions across Oceania, including Lactalis’s high-profile acquisition of Fonterra’s Mainland Group consumer business and Danone’s proposed purchase of the Made Group.
Brownes Dairy CEO and Managing Director Natalie Sarich-Dayton noted that because all restructuring activities were isolated at the parent-holding level, the underlying operating company remains profitable, fully insulated, and debt-free.
Day-to-day milk collection, processing, and distribution operations will continue uninterrupted under Brownes’ independent board and executive leadership team throughout the bidding and due diligence phases.
With the formal sale underway, the divestment offers prospective domestic and international trade buyers, agricultural funds, and private equity investors a rare opportunity to acquire an integrated, profitable regional dairy platform with established farmgate supply chains and proven brand equity.
