UK – IMCD N.V. has signed an agreement to acquire 100% of the shares in Willows Ingredients Group Limited, strengthening its position in the growing health, sports, and animal nutrition sectors across the UK and Ireland.
The acquisition forms part of IMCD’s strategy to expand its specialised ingredients portfolio and technical capabilities in response to rising demand for advanced functional nutrition products.
Headquartered in Ireland, Willows Ingredients brings a team of 26 employees, along with established supplier partnerships and strong customer relationships.
The company reported revenues of approximately EUR 26 million in 2024, reflecting its established presence in specialised nutrition distribution.
The integration will allow IMCD to expand its portfolio and enhance its service offering to manufacturers across Ireland and the United Kingdom.
IMCD said the acquisition will strengthen its existing food and nutrition business and broaden access to high-growth segments, including preventative healthcare, sports performance, and animal nutrition.
By incorporating Willows Ingredients’ portfolio and expertise, the company aims to improve its ability to support customers developing functional and performance-focused nutrition products.
Paul Hanbury, Managing Director of IMCD UK & Ireland, said the acquisition marks a significant milestone for the company’s regional growth strategy.
“This acquisition represents an important step in developing our food & nutrition activities across the region,” he said.
“Willows Ingredients has built an impressive portfolio of nutrition ingredients, and the team brings long-standing trusted customer relationships and valuable expertise across Ireland and the UK. By combining their strengths with IMCD’s global reach and formulation capabilities, we can create even greater opportunities for our customers and principals.”
Willows Ingredients said joining IMCD will provide access to global infrastructure, enabling it to expand its market reach and strengthen support for customers and suppliers.
David Scrivens, Managing Director of Willows Ingredients, said the agreement represents a strategic opportunity for growth.
“We are proud of the strong customer relationships our team has built in the specialised nutrition space,” he said.
“By joining IMCD, we gain access to a global platform that will enable us to support our partners even more effectively. We look forward to contributing our knowledge and working alongside our new colleagues to deliver enhanced solutions for the market.”
The transaction remains subject to customary closing conditions and is expected to be completed in the first quarter of 2026.
